2. Nature of Services
The Consultant provides IT consulting services, including but not limited to:
- Odoo ERP/CRM implementation and configuration
- AI business process automation
- Custom Odoo module development
- System integration with third-party platforms
- Ongoing support and maintenance under monthly retainer
Services are delivered remotely unless otherwise agreed in writing.
3. Project Initiation
No work commences until a written proposal or Statement of Work (SOW) has been signed by both parties. The signed document constitutes the binding agreement for that project.
Discovery calls and initial consultations are offered free of charge and do not constitute a commitment by either party.
4. Fees and Payment
Project fees are defined in the signed SOW. Unless otherwise stated:
- 50% of the project fee is due upon signing the SOW.
- The remaining 50% is due upon final delivery and client sign-off.
- Monthly support retainers are invoiced on the first business day of each month.
- Payment terms are 14 days from invoice date.
Late payments accrue interest at 1% per month from the due date.
5. Intellectual Property
Upon receipt of full payment, all intellectual property rights in the work product specifically created for the client under the project (custom code, documentation, configurations) are assigned to the client in their entirety.
The Consultant retains all rights to pre-existing tools, frameworks, libraries, and methodologies used in delivering the services.
The Consultant may reference the project as a case study (without revealing confidential client data) unless the client requests otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential all proprietary information, business data, technical details, and trade secrets disclosed during the engagement. This obligation survives the termination of the agreement for a period of three years.
Neither party shall disclose the other's confidential information to any third party without prior written consent, except where required by law.
7. Limitation of Liability
The Consultant's total liability to the client in respect of any claim arising under or in connection with the agreement shall not exceed the total fees invoiced for the project giving rise to the claim.
The Consultant is not liable for indirect, incidental, consequential, or special damages, including loss of profits or business interruption, even if advised of the possibility of such damages.
The client is responsible for maintaining adequate backups of their data before any system work commences.
8. Termination
Either party may terminate the agreement with 30 days' written notice. Upon termination:
- The client is invoiced for all work completed up to the termination date.
- All deliverables completed and paid for are transferred to the client.
- Work in progress may be invoiced on a pro-rata basis for hours expended.
9. Governing Law
These terms and any agreement between the parties are governed by the laws of Portugal. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
10. Amendments
These terms may be updated from time to time. The version in effect at the time of signing a project SOW is the version that governs that project. Updated terms apply to new projects commencing after the update date.
